Agreement to Terms
Welcome to AMP Direct. These Terms and Conditions ("Terms") govern your use of our website and services. By accessing our website at ampdirect.com, requesting a quote, or engaging our services, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and AMP Direct ("we," "us," or "our").
Important: By submitting a project request or signing a service agreement, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
Services Description
AMP Direct is a web development and digital agency based in Accra, Ghana, serving clients locally and internationally. We specialize in providing the following services:
Website Development
Custom websites, landing pages, business websites, and responsive web design
Mobile App Development
iOS, Android, and cross-platform mobile applications
Web Applications
SaaS platforms, dashboards, internal tools, and custom web apps
E-commerce Solutions
Online stores, marketplaces, payment integration, and inventory systems
UI/UX Design
Website design, app design, branding, and user experience optimization
Website Maintenance
Updates, hosting support, security monitoring, and ongoing improvements
International Services: We serve clients worldwide, with services delivered remotely using industry-standard communication and project management tools. All services are customized to meet your specific requirements as outlined in your project agreement.
Quotes & Proposals
Quote Process
- Free Consultation: We provide free initial quotes and consultations for all potential projects
- Response Time: Quotes are typically provided within 2-3 business days
- Quote Validity: All quotes are valid for 30 days from the date of issue
- Custom Pricing: Each project is quoted individually based on scope, complexity, and timeline
- Currency: Prices are quoted in Ghana Cedis (GHS) for local clients or USD for international clients
Quote Contents
Each quote will include:
- Detailed scope of work and deliverables
- Project timeline and milestones
- Total project cost breakdown
- Payment terms and schedule
- Number of revision rounds included
- Terms and conditions specific to your project
Note: Quotes are estimates based on the information provided. Significant changes to project scope may require a revised quote. Prices may be subject to applicable taxes.
Payment Terms
Payment Structure
50% Deposit (Upfront)
Required before project work begins. This deposit is non-refundable once work has commenced.
50% Final Payment (On Completion)
Due upon project completion and before final delivery of source files and assets.
Payment Methods
We accept the following payment methods:
- Bank Transfer: Direct bank transfer (Ghana and international)
- Mobile Money: MTN Mobile Money, Vodafone Cash, AirtelTigo Money (Ghana clients)
- PayPal: For international clients
- Stripe: Credit/debit card payments for international clients
Late Payments
- Grace Period: 7 days from invoice due date
- Late Fee: 5% monthly fee applied after grace period
- Work Suspension: Project work may be suspended for non-payment
- Legal Action: Persistent non-payment may result in legal action and additional collection costs
Taxes
All prices quoted are exclusive of applicable taxes unless otherwise stated. Value Added Tax (VAT), Goods and Services Tax (GST), or other applicable taxes will be added to invoices as required by law.
Project Terms & Timeline
Timeline Estimates
Project timelines provided in quotes are estimates based on:
- Current workload and resource availability
- Timely receipt of client materials and feedback
- No significant scope changes during development
- Normal business operations without unforeseen disruptions
Important: Timelines are estimates, not guarantees. We commit to delivering quality work within a reasonable timeframe but cannot be held liable for delays caused by circumstances beyond our control.
Project Start Date
Projects begin upon receipt of:
- 50% deposit payment
- Signed project agreement or accepted quote
- All required initial materials and information
Timeline Extensions
Project timelines may be extended due to:
- Client delays in providing materials or feedback
- Significant scope changes or additions
- Repeated revision requests beyond agreed rounds
- Force majeure events (see Force Majeure section)
- Third-party delays (hosting, domain registration, etc.)
Client Responsibilities
To ensure successful project completion, clients are responsible for:
Content & Materials
- • Providing all text, images, logos, and other content in a timely manner
- • Ensuring all materials are high quality and suitable for use
- • Confirming you have legal rights to all provided materials
Communication & Feedback
- • Responding to requests for feedback within 5 business days
- • Providing clear, consolidated feedback for revisions
- • Designating a single point of contact for the project
Payments
- • Making payments according to the agreed schedule
- • Notifying us immediately of any payment issues
- • Paying invoices within specified timeframes
Access & Credentials
- • Providing necessary access to hosting, domains, and third-party services
- • Maintaining valid credentials and account access
- • Ensuring hosting accounts remain active and paid
Legal Compliance
- • Ensuring all content complies with applicable laws
- • Obtaining necessary licenses for third-party assets
- • Respecting intellectual property rights
Important: Client delays or failure to fulfill responsibilities may result in project delays, additional costs, or project suspension. We are not liable for delays caused by client non-compliance with these responsibilities.
Revision Policy
Included Revisions
Each project includes a specified number of revision rounds as outlined in your project agreement or quote. Typical revision allowances:
- Design Projects: Usually 2-3 rounds of design revisions
- Development Projects: Usually 2 rounds of functional revisions after initial delivery
- Minor Tweaks: Small adjustments within reason during development
What Counts as a Revision
✅ Included Revisions
- • Adjusting colors, fonts, or styling
- • Refining layout or positioning
- • Correcting errors or bugs
- • Making agreed-upon changes
❌ Scope Changes (Additional Cost)
- • Adding new pages or features
- • Complete redesigns
- • Changing project direction
- • New functionality not in original scope
Additional Revisions
Revisions beyond the included rounds will be charged at our standard hourly rate or as agreed upon. Rates vary based on:
- Complexity of requested changes
- Time required to implement
- Whether changes constitute scope expansion
Intellectual Property Rights
Client Ownership (After Full Payment)
Upon receipt of full payment, you own:
- Final Deliverables: The completed website, app, or design files as specified in the project agreement
- Custom Designs: Graphics, layouts, and visual elements created specifically for your project
- Custom Code: Code written specifically for your project (excluding frameworks and libraries)
- Project Content: Text, images, and materials you provided or we created specifically for you
Important: Ownership transfer occurs ONLY after full payment is received. Until then, we retain all rights to work in progress.
AMP Direct Retains Rights To
- Portfolio Use: Display your project in our portfolio, website, and marketing materials
- Case Studies: Create case studies about your project (with your permission for specific details)
- Reusable Components: General code libraries, frameworks, and development tools we use across projects
- Processes & Methodologies: Our development processes and business methods
- Pre-existing Work: Any work we created before or independently of your project
Third-Party Assets
The following require separate licensing or purchases:
- Premium Fonts: Commercial font licenses must be purchased separately
- Stock Photos/Images: Licensed stock media must be purchased by client or included in project cost
- Premium Plugins: Third-party plugins or themes require separate licenses
- Software Licenses: CMS platforms, frameworks subject to their own licenses
Source Files
Source files (design files, raw code, etc.) are provided only if specified in your project agreement. Additional fees may apply for source file delivery.
Cancellation & Refunds
Client Cancellation
You may cancel the project at any time by providing written notice. However:
- Deposit Non-Refundable: The 50% deposit is non-refundable once project work has begun
- Work Completed: You must pay for all work completed to date at our standard rates
- Third-Party Costs: Any non-refundable third-party expenses (domains, licenses, etc.) are your responsibility
- Partial Delivery: We will provide work completed up to cancellation point (at our discretion)
AMP Direct Cancellation
We reserve the right to cancel or suspend your project in the following situations:
- Non-Payment: Failure to make payments according to agreed schedule
- Breach of Terms: Violation of these Terms and Conditions
- Lack of Cooperation: Persistent failure to provide necessary materials or feedback
- Illegal Content: Request for illegal or unethical work
- Abusive Behavior: Harassment or abuse of our team members
Refund Policy
- •No Refunds After Work Begins: Deposits are non-refundable once development starts
- •Partial Refunds: May be considered for undelivered milestones if we cancel without cause
- •Full Refund: Only if we cancel before any work has commenced
- •Refund Processing: Approved refunds processed within 14 business days
Warranties & Disclaimers
What We Warrant
- ✅ Original Work: All work is original and does not infringe on third-party rights
- ✅ Professional Standards: Work meets industry professional standards
- ✅ Specifications: Deliverables meet agreed-upon specifications
- ✅ Functionality: Website/app functions as intended at time of delivery
- ✅ Bug-Free Delivery: No known critical bugs or defects at launch
What We Do NOT Warrant
- ❌ Business Results: No guarantee of specific traffic, sales, conversions, or rankings
- ❌ SEO Rankings: Search engine rankings depend on many factors beyond our control
- ❌ Universal Compatibility: Cannot guarantee compatibility with ALL devices/browsers (we test major ones)
- ❌ Third-Party Services: Availability and functionality of third-party services
- ❌ Content Accuracy: Accuracy of client-provided content
- ❌ Future Compatibility: Compatibility with future software/platform updates
Website Performance & Hosting
Website performance depends on:
- Hosting Quality: Your hosting provider's server performance
- Content Optimization: Size and optimization of images and media you add
- Maintenance: Regular updates and security patches
- Traffic Volume: Server capacity for your traffic levels
We optimize code and initial content, but ongoing performance is not our responsibility unless covered by a maintenance agreement.
Warranty Period
We provide a 30-day warranty from project delivery for fixing bugs or issues present at launch. This does not cover new feature requests, content changes, or issues caused by client modifications.
Limitation of Liability
IMPORTANT LEGAL NOTICE - PLEASE READ CAREFULLY
This section limits our liability to you. By using our services, you agree to these limitations.
Maximum Liability
Our total liability for any claims arising from your project is limited to the total amount paid by you for that specific project. This limitation applies regardless of:
- The legal theory of the claim (contract, tort, negligence, etc.)
- Whether we were advised of the possibility of such damages
- The number of claims made
Exclusion of Damages
We are NOT liable for:
- Indirect Damages: Consequential, incidental, or punitive damages
- Lost Profits: Loss of business, revenue, or profits
- Data Loss: Loss of data, unless caused by our gross negligence
- Business Interruption: Downtime or inability to conduct business
- Third-Party Actions: Actions of third-party service providers
- Client Modifications: Damages from changes made by client or third parties
Client Indemnification
You agree to indemnify and hold AMP Direct harmless from any claims, damages, or expenses arising from:
- Content you provide that infringes on third-party rights
- Your use of the deliverables in violation of laws or regulations
- Modifications you make to our work after delivery
- Your breach of these Terms and Conditions
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Natural Disasters: Earthquakes, floods, fires, pandemics, or other acts of nature
- Government Actions: War, civil unrest, terrorism, government restrictions, or regulations
- Infrastructure Failures: Internet outages, power failures, or telecommunications disruptions
- Labor Disputes: Strikes, lockouts, or labor shortages
- Third-Party Failures: Failure of essential third-party services or suppliers
In such events, project timelines will be extended by a reasonable period, and we will make reasonable efforts to minimize delays and notify you promptly.
Confidentiality
Our Commitment
We treat all client information as confidential and will:
- Not disclose your confidential information to third parties without consent
- Use confidential information only for delivering your project
- Implement reasonable security measures to protect your data
- Require our team members and contractors to maintain confidentiality
Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no fault of ours
- Was known to us before you disclosed it
- Is independently developed by us without using your information
- Must be disclosed by law or court order
Non-Disclosure Agreements
For projects requiring additional confidentiality protection, we can execute a separate Non-Disclosure Agreement (NDA) upon request.
Dispute Resolution
Resolution Process
In the event of any dispute, claim, or controversy arising from these Terms or your project, we agree to follow this resolution process:
Step 1: Good Faith Negotiation
Both parties will attempt to resolve the dispute through good faith negotiations for 30 days.
Step 2: Mediation
If negotiation fails, parties will attempt mediation with costs shared equally (50/50).
Step 3: Arbitration or Court
If mediation fails, disputes will be resolved through arbitration or court proceedings in Ghana.
Governing Law & Jurisdiction
- Governing Law: These Terms are governed by the laws of Ghana
- Jurisdiction: Courts of Ghana have exclusive jurisdiction
- EU Clients: EU consumer protection laws apply for clients in the European Union
- US Clients: State consumer protection laws may apply for US-based clients
Legal Costs
In the event of legal action, the prevailing party may be entitled to recover reasonable attorney's fees and costs from the other party.
Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective when:
- Posted on our website with a new "Last Updated" date
- Notified to existing clients via email for significant changes
- Accepted by you through continued use of our services
Active Projects: Changes to Terms will not affect projects already in progress unless mutually agreed upon in writing.
We encourage you to review these Terms periodically to stay informed of any updates.
